Assets of Texas Service Station

Sale of assets of Alta Mesa Resources, Inc. which includes:

1. Substantially all assets associated with the KFM Sellers’ Midstream business, including, gathering systems, pipelines, compressor stations and related facilities, the Lincoln Plant, real property interests (including easements and rights-of-way), personal property (including equipment, machinery, fixtures and buildings), permits, disposal wells, trade credits and accounts receivable attributable to the Assets after January 1, 2020, certain rights, claims and causes of action associated with the Assets to the extent related to Assumed Obligations, and certain avoidance actions
2. All contracts selected by the Stalking Horse Bidder for assumption and assignment (Stalking Horse Bidder has responsibility to pay all cure costs associated with such contracts other than cure costs for gathering agreements that exceed the KFM Sellers’ original estimated cure costs by $1MM in the Aggregate)
