Assets of Sports Goods Retail Business

Sale of all assets of Gander Mountain Company includes:

• all Acquired Stores;
• all Business Properties;
• the eCommerce Businesses;
• all Inventory in accordance with Section 2.5;
• all Equipment;
• all Assigned Agreements;
• all Petty Cash;
• all Permits and pending applications therefor, in each case to the extent assignable;
• all Prepaid Expenses;
• Intellectual Property;
• all customer lists, marketing research and similar data being used by Sellers in the Ordinary Course of Business, subject to applicable Law, Contracts or policies;
• all goodwill associated with the assets referenced in this Section 2.1;
• all Documents (other than those described in Section 2.2(c)) to the extent available and permitted to be transferred by applicable Laws;
• all Claims of Sellers (other than warranty claims and Avoidance Actions) to the extent arising out of, or relating to, any Acquired Store or any other asset referenced in this Section 2.1;
• all rights of Sellers under non-disclosure or confidentiality, non-compete, or non-solicitation agreements relating to the Business, any Acquired Store or any other asset referenced in this Section 2.1;
• telephone, telex, and telephone facsimile numbers and other directory listings used in connection with the Acquired Stores; and
• any other assets, properties, and rights listed on Schedule 2.1(q).
