Assets of Software Development Business

Auction Sale of assets of Metavine, Inc. (the “Seller”), which includes:

• All of the Seller’s rights, title, interest in its software intended to enable customers without computer coding experience to assemble custom computer applications using preexisting components (the “Software”);
• All of the Seller’s rights, title, interest in agreements pursuant to which Seller currently provides Software and related services to Seller’s customers, other than payments on such agreements already paid to the Seller, which payments are excluded from the Purchased Assets;
• All of the Seller’s rights, title, interest and benefits under the Seller’s agreements, contracts, licenses, instruments, commitments and understandings specifically and directly related to the Software;
• All of the Seller’s books and records directly related to, or used in connection with, the conduct of the marketing and sale of the Software, regardless of the medium on which such information is stored or maintained including, without limitation, all customer lists, vendor information, contracts, business plans, strategies, financial and operational data and reports, and marketing information and materials directly related to the Software;
• To the extent transferable, all of the Seller’s licenses, permits or other authorizations of governmental or regulatory entities that are required under any laws, rules and regulations necessary to market and sell the Software;
• All of the Seller’s trademarks, copyrights, and other intellectual property rights, directly related to the Software, including, without limitation source code, related repositories and other data associated with the Software;
• All goodwill associated with the Purchased Assets; and
• Documentation material of the Seller pertaining to use, functionality, and installation of the Software.
