Assets of Retirement Communities Facilities Business

Sale of assets of WESTPORT HOLDINGS TAMPA II, LIMITED PARTNERSHIP, Any and all of the assets, real, personal and mixed, tangible and intangible, owned or held by the WNT described as below:

• The Land Premises, together with the Facilities and all buildings, improvements and fixtures erected on the Land Premises and all easements and other rights appurtenant thereto;
• All rights under the Transferred Contracts; 
• The Sellers’ IP;
• All vehicles, furniture, fixtures, consumables, machinery, tools, appliances, and equipment used in connection with the Business or the Facilities; 
• All inventories of supplies, drugs, disposable goods, labels, containers, bags and other packaging supplies, and other materials used in the operation of the Business or the Facilities; 
• All books, records, files and papers, whether in tangible, intangible or electronic form, utilized by the Business or in connection with the Facilities; 
• All Residents’ records, if any, that either WNT is permitted by applicable Law (including
• HIPAA) to transfer to the Buyer or its Affiliates; 
• All goodwill associated with the Business or the Facilities; 
• All phone numbers; 
• Certain rights of WNT under the Operator Lease; and
• The MLR Account.
