Assets of Restaurants Business

Auction Sale of six restaurants and related assets of Karma Capital, Inc. The assets of the Estate include six franchises for Daphne’s California Greek restaurants located in Carlsbad, Chula Vista, La Jolla, Mira Mesa, Poway, and Santee (each a “Restaurant” and collectively, the “Restaurants”). The assets to be sold with respect to each Restaurant are an assignment of the respective franchise agreement with MCFC, an assignment of seller's lease (applicable only to the Chula Vista Restaurant), all furniture, fixtures, leasehold improvements, furnishings and/or equipment on site at closing, software, accounts, goodwill, signage, marketing/advertising materials, menu boards, point of sale systems, inventory, and financial and tax books and records pertaining to the applicable restaurant; all intangible personal property owned by seller and used in connection with the Restaurants, including any transferable permits, licenses, leases, and/or phone numbers; and the business as a going concern and all goodwill associated thereto. The restaurants described as below:

• Carlsbad Restaurant: This Daphne’s Restaurant is located at 6981 El Camino Real, Suite 101, Carlsbad, CA 92009;
• Chula Vista Restaurant: This Daphne’s Restaurant is located at 358 East H Street, #604, Chula Vista, CA 91910;
• La Jolla Restaurant: This Daphne’s Restaurant is located at 8657 Villa La Jolla Drive, Suite 105, La Jolla, CA 92037;
• Mira Mesa Restaurant: This Daphne’s Restaurant is located at 10728 Westview Parkway, Suite 305, San Diego, CA 92126;
• Poway Restaurant: This Daphne’s Restaurant is located at 13487 Poway Road, Suite 604, Poway, CA 92064; and
• Santee Restaurant: This Daphne’s Restaurant is located at 9828 Mission Gorge Road, Unit 18B, Santee, CA 92071.
