Assets of Organic Essential Oils-Based Business

Sale of assets of Beacon Organics, LLC (“Beacon”), Greenerways LLC fka Greener Days, LLC (“Greenerways”) and Choice Essential Oils, LLC (“Choice”) (each a “Seller” and, collectively, “Sellers”).

The assets of the estates to be sold include, inter alia, certain (1) claims against USM, expounded upon below, (2) Greenerways’ intellectual property and rights under license and distribution agreements in connection with its contract manufacturing services and Greenerways brand consumer goods, (3) claims, if any, of the Choice and Greenerways Estates against Jayme Neiburg, Jimmy Bella, Sharon Neiburg, and the officers, the directors, the managers, and/or the members of Greenerways that have not been otherwise released by the Trustee or the Choice Estate under the Aion Compromise; (4) 50% of the accounts receivables, if any; and (5) finished goods, raw materials, and equipment owned by the Estates (collectively, “Hard Assets”) that are stored in the Buyer’s warehouse located at 12460 Riverside Drive, Eastvale, California 91752 (the “USM Warehouse”).
