Sale of physical assets and goodwill assets of Willie L. Stephens, D.D.S., P.C., formerly doing business as Stephens Oral and Maxillofacial Surgery (“Seller”), which includes:

• Physical Assets for $62,550.00: Physical assets of Stephens as set forth on Schedule A from Page No. 27 on the attached PDF, which assets were used in connection with the oral and maxillofacial surgery practice heretofore conducted by Seller (the “Practice”); and
• Goodwill Assets for $164,501.00: All of Seller's right, title and interest in and to the Goodwill and related assets, including without limitation all patient lists, patient information and records therefor, all URLs owned or used in the Business (including without limitation the URL stephensomfs.com), and all telephone numbers owned or used in the Business (including without limitation the telephone number 781-235-4554 and the fax number 781-237-2947).
