Sale of substantially all of assets of the Red Fork (USA) Investments, Inc., consist of the seller's mineral leases, interests in oil and gas wells, and related assets, including, but not limited to, various pipelines, machinery and production equipment appurtenant to or used in connection with the seller operations.

Red Fork is an independent oil and natural gas exploration and production company engaged in the acquisition, exploration, development, and production of oil and natural gas properties. EastOK is a wholly-owned subsidiary of Red Fork that owns and/or operates infrastructure, including pipelines and salt water disposal (“SWD”) wells, located on the same leased acreage as Red Fork’s oil and gas operations. The sellers are headquartered in Midland, Texas.

The seller's primary assets are located in Kay, Noble, Pawnee, Payne and Wagoner Counties in Oklahoma. In total, the Debtors own working interests in approximately 38,000 net acres of oil and gas interests overlying the Woodford and Mississippian Lime formations in northern Oklahoma (collectively, the “Oil and Gas Interests”), consisting primarily of approximately 33,000 acres in the Big River producing area located in Noble, Payne and Pawnee Counties (the “Big River Assets”), and approximately 5,000 acres in the Wagoner producing area located in Wagoner County (the “Wagoner Assets”).
