Assets of New York Clothing Business

Sale of assets of Brooks Brothers Group, Inc. which includes:

1. the trade name “Alexis Bittar” (or any variations thereof), including all related trademarks and service marks, trademark and service mark registrations and applications, screen names and online identifiers, including without limitation the US and foreign trademark registrations set forth in Schedule 1.01A attached to the Purchase Agreement (collectively, the “Subject AB Marks”), and all goodwill associated therewith, together with income, royalties, damages or payments due on or after the date hereof in respect of the Subject AB Marks, including, without limitation, all claims for damages or payments by reason of infringement or unauthorized use of the Subject AB Marks, along with the right to sue for past infringements or other unauthorized use of the Subject AB Marks and collect same for Purchaser’s sole account;
2. Seller’s domain, alexisbittar.com, any web presence of Seller relating to the AB Business (as defined in the Purchase Agreement), including Twitter, Instagram and Facebook pages, and all passwords related to accessing such domain and pages and all content contained therein;
3. all marketing materials relating to the AB Business, including all registered and unregistered copyrights pertaining thereto, and copies of all customer lists, including customer email addresses, relating to the AB Business;
4. all of Seller’s rights to the jewelry designs and other fashion accessory designs exclusively utilized in connection with or exclusively relating to the AB Business, including all registered and unregistered copyrights exclusively relating thereto; and
5. all of the rights and interests of Seller and its affiliates under or in respect of the agreements listed in Schedule 1.01B attached to the Purchase Agreement (the “Alexis Bittar IP Agreements”), with Seller and its affiliates ceasing to have any further rights or interests in, to or under such Alexis Bittar IP Agreements effective immediately upon the Closing
