Assets of Molecular Diagnostic Testing Company

Sale of assets of Great Basin Scientific, Inc., which includes:

1. All intellectual property, including patents granted, filed or in the process of being filed, as well as all trade secrets and know-how relating to the business, operations and technology of GBC. A list of GBC patents filed and/or granted is annexed hereto and marked as Annex 1;
2. All trade marks in use by GBC whether or not registered, and all records pertaining to the use;
3. All products including tests and instruments, as well as processes whether or not approved by any regulatory authority or still in the research and development phase;
4. All documents and records pertaining to the business and operations of GBC, which are necessary to maintain and operate GBC's business, including but not limited to manufacturing and product documentation(s), design history files bill of materials and other documents important to maintain the regulatory license of the products and manufacture; and
5. All inventory and equipment maintained by GBC, whether or not recorded on the balance sheet or written off, in the premises or GBC's warehouse or customer sites, which is annexed hereto and marked as Annex 2.
