Assets of Medical Services Business

Sale of assets of CLINICA SANTA ROSA, INC., described as below:

• All the Real Estate listed in Schedule 2.1(b) of the APA;
• All the equipment located at the machinery room of the building known as Santa Rosa II and that are listed in Schedule 2.1(b), including without limitation the power system generator, and the related equipment required and mandatory for the functioning of the power generator;
• All of Seller’s rights with respect to its Medicare, Medicaid and other third party provider numbers (the “Hospital Provider Numbers”) used by Seller in connection with the operation of the Hospital Business;
• All Software owned by Seller (including, without limitation, medical insurance plan billing software);
• All goodwill associated with the Hospital Business and/or the Purchased Assets;
• To the extent transferable, all governmental permits and licenses (including the Hospitals’ certificates of need and convenience “CON’s”, for the operation of the Hospital, a pharmacy, and a laboratory license, issued by the Commonwealth of Puerto Rico), authorizations, approvals, certificates of exemption, franchises, accreditations, and Environmental permits used by Seller that relate to the Hospital Business and Purchased Assets, including all applications therefore (collectively, “Assigned Permits”);
• All Permits of Seller listed in Schedule 5.6(c) of the APA; and
• All other intangible assets of Seller used in the operation of the Hospital, and more particularly described on the attached PDF
