Assets of Medical Devices Manufacturing Company

Sale of asset of Orbbo Surgical LLC which includes:

1. all inventory of the Seller, as more particularly described on Exhibit A attached hereto (the "Inventory"). On February 28, 2020 at 9:00 A.M. Pacific Time (the "Inventory Pick-up Date"), Purchaser shall have the right to pick up and take delivery of all of the Inventory from the storage facility in Moreno, California;
2. four (4) 510(k) pre-market notifications concerning the following: (1) FDA 51 OK: K163180 Hubble II; (2) FDA 51 OK: Kl63265 Kepler II; (3) FDA 51 OK: Kl63566 Hubble I System; and (4) FDA 51 OK: Kl63602 Kepler I Cervical Plate System (the "Orbbo FDA 510(k)s"). The Estate shall retain all right, title, and interest in the Orbbo FDA 510ks until Payment #3 (as described in Section 5.1(a)(iii)) is received by the Trustee. Upon receipt of such Payment #3 by the Trustee, the Trustee shall execute all necessary documentation and take all necessary action to effectuate the verifiable transfer of the Orbbo FDA 510(k)s to Purchaser within 7 days of receipt of Payment #3. Such transfer of the Orbbo FDA 510(k)s to Purchaser shall include, but not be limited to, a quitclaim of all of Seller's right, title and interest in the Orbbo FDA 510(k)s to Purchaser.
