Assets of Medical and Hospital Uniforms Manufacturing Company

Sale of substantially all of the assets of Affordable Med Scrub which includes:

• tangible personal property (such as and including machinery, equipment, inventories of raw materials and supplies, manufactured and purchased goods and apparel, goods in process and finished goods, furniture, automobiles, trucks, tractors, trailers, tools, jigs, and dies),
• intellectual property, goodwill associated therewith, licenses and sublicenses granted and obtained with respect thereto, and rights thereunder, remedies against past, present, and future infringements thereof, and rights to protection of past, present, and future interests therein under the laws of all jurisdictions,
• leases, subleases, and rights thereunder,
• agreements, contracts, indentures, mortgages, instruments, Liens, guaranties, other similar arrangements, and rights thereunder,
• cash, cash equivalents, accounts, notes, and other receivables,
• securities,
• claims, deposits, prepayments, refunds, causes of action, choses in action, rights of recovery, rights of set-off, and rights of recoupment,
• subject to the provisions of Section 363(b)(1)(A) of the Bankruptcy Code, all goodwill and other intangible assets associated with the business of the Seller and/or the Purchased Assets, including all customer and supplier lists and the goodwill associated with the any property owned by the Seller,
• all claims and causes of action of the Seller arising under or in respect of the business of the Seller and/or any Purchased Asset, which shall expressly exclude all claims and causes of action arising in tort or under Chapter 5 of the Bankruptcy Code
• subject to the provisions of Section 363(b)(1)(A) of the Bankruptcy Code, all rights to the telephone and facsimile numbers and email addresses used by Seller, as well as rights to receive mail and other communications addressed to Seller (including mail and communications from customers, suppliers, distributors and agents),
• franchises, approvals, permits, licenses, orders, registrations, certificates, variances, and similar rights obtained from governments and governmental agencies, and
• books, records, ledgers, files, documents, correspondence, lists, plats, architectural plans, drawings, and specifications, creative materials, advertising and promotional materials, studies, reports, and other printed or written materials.
