Assets of Mattress and Bedding Products Business

Sale of Assets of A Goodnight Sleepstore, Inc., include all of Seller's right, title, and interest in and to the following assets owned or used by Seller in connection with or related to the Business, described as below:

• Any and all tangible personal property used in connection with the Business, including, without limitation, equipment, furniture, fixtures, signs, materials, tools, parts and supplies;
• To the full extent that such are assignable, all rights, title, and interests in and to any and all of Seller's (1) marketing materials, promotional and business development information, and all associated materials that related to the Business; (2) books, documents, and records related to the Acquired Assets or the Business, including without limitation, inventory, maintenance, asset history, and other business reports, financial and tax statements, and all supporting papers in connection therewith; and (3) other books, records, files, data, manuals, training materials, work papers, records, documents, and other information related to the Acquired Assets or the Business, all in whatever form retained by Seller;
• The telephone, e-mail address, and Facebook account owned or used in connection with the Business;
• The website: www.agoodnightsleepstore.com;
• To the fullest extent that such are assignable, all permits, licenses, and governmental authorizations, variances, consents, registrations, and approvals required to operate the Business as the Business currently is operated by Seller;
• All corporate goodwill related to the Business; and
• The name "A Goodnight Sleepstore."
