Assets of Illinois Racing Club

Sale of assets of Balmoral Racing Club, Inc. which includes:

• accounts receivable relating to the businesses;
• inventory used in connection with the businesses;
• all cash and cash equivalents restricted and held under applicable law or contract for the benefit of third parties;
• all transferrable prepaid expenses and deposits arising in connection with the businesses, including, without limitation, all security and vendor deposits (but excluding the Deposit of any Qualified Bidders), and excise gas tax refunds, if any;
• all of the Sellers’ real property, consisting of the Balmoral Racetrack and Balmoral’s Crestwood OTB location, together with all improvements, fixtures and other appurtenances thereto and rights in respect thereof;
• furniture, machinery and equipment;
• certain intellectual property, if any, to the extent assignable in accordance with applicable bankruptcy law;
• specific executory contracts and unexpired leases, including those related to the Sellers’ Maywood Racetrack facility and the lots adjacent to the facility, which are subleased by Maywood, and the subleases for the Sellers OTB locations, to the extent assignable in accordance with applicable bankruptcy law (collectively, the “Executory Contracts”);
• all vehicles owned and used in connection with the businesses;
• all documents that are used in, held for use in or intended to be used in, or that arise primarily out of, the businesses;
• all permits, licenses and approvals used by Sellers in the businesses, to the extent they are assignable, including, without limitation, all Illinois Racing Board Organizational Licenses, Illinois Racing Board Inter-Track Wagering Licenses, and all environmental permits, if any;
• all supplies owned by the Sellers and used in connection with the businesses;
• unexpired rights of the Sellers under or pursuant to all warranties, representations and guarantees made by suppliers, manufacturers and contractors to the extent relating to services provided;
• all of Sellers’ rights and remedies under that certain 2014-June 30, 2015 Agreement dated March 14, 2014 between Balmoral, Maywood and the Illinois Harness Horsemen’s Association (as amended, and including all modifications and supplements related thereto);
• all of Sellers’ interests in and to the following business entities: (i) World Wide Broadcasting Systems, Inc.; (ii) Printing Specialties, Inc.; (iii) Egyptian Trotting Association; and (iv) Inter-Track Partners, LLC;
• p. the names “Balmoral Racing Club Inc.,” “Maywood Park Trotting Association,” “Balmoral Park,” “Maywood Park,” “Balmoral Race Track,” “Maywood Race Track,” and the right to use telephone numbers, email addresses and facsimile numbers used by the Sellers; and
• all goodwill and other intangible assets associated with the businesses, including customer and supplier lists and the goodwill associated with the Acquired Assets.
