Assets of Home Textile Import Company

Sale of assets of Elite Home Products, Inc. (the “Seller”), consist of (a) good will (the “Good Will”), (b) intellectual property (particularly the seller's on-line presence) (the “IP”) and (c) business with Amazon (particularly the seller's ASINs (an acronym for Amazon Standard Identification Number) and inventory maintained at Amazon, which was approximately $65,000 in value as of the Petition Date) (the “Amazon Inventory”) (the seller's ASINs and the Amazon Inventory being referred to herein as, collectively, the “Amazon Business”) (the seller's Good Will, IP and Amazon Business being referred to herein as, collectively, the “Subject Assets”), and more described in Exhibit A on the attached PDF.
