Assets of Home Furnishing Products Business

Sale of assets of Clio Holdings, LLC, et al., including all of the Estates’ right, title and interest of every kind and nature whatsoever, if any, in and to the following (collectively, the “Acquired Assets”):

• All inventory, finished goods, business records, machinery, equipment, and vehicles located at 1355 McFarland 400 Drive and 845 McFarland Parkway, Alpharetta, Georgia (the “Locations”);
• 7 vehicles and 2 trailers located at 1350 McCain Parkway, Pelham, Alabama;
• 5 vehicles located at 2601 E. 34th Street, Chattanooga, Tennessee;
• Moraware, Slabsmith and Alphacam operating systems and databases (to the extent they can be transferred and/or assigned to Buyer);
• Any tradenames, websites and domain names used by Premier Surfaces Acquisition, LLC in its business, including the domain www.premiersurfaces.com;
• All rights of Premier Surfaces Acquisition, LLC (“PSA”) in and to the Restrictive Covenants set forth in Section 6.2 of that certain Asset Purchase Agreement dated May 1, 2017 between PSA and The Tryon Group, Inc., and
• Those assets described in Schedule A from Page No. 26-27 on the attached PDF.
