Assets of Healthcare Services Business

Sale of substantially all of assets of the Pioneer Health Services, Inc., which include all of seller’s respective right, title, and interest in, to, and under all of the following assets:

• All contracts for the provision by Seller of hospital management, billing and collection services, or management of behavioral health programs identified on Schedule 2.1(a);
• The furniture and equipment identified on Schedule 2.1(b) (the ‘LVI Equipment”);
• The furniture and equipment identified on Schedule 2.1(c) (the “Trustmark FF&E”);
• All Permits used by Seller in the Business to the extent assignable or transferable;
• To the extent transferable to Purchaser, all rights of Seller under non-disclosure or confidentiality, non-compete, or non-solicitation agreements with Employees and agents of Seller or with\ third parties to the extent relating to the Business or the Purchased Assets (or any portion thereof); and
• All rights of Seller, to the extent transferable, under or pursuant to all warranties, representations and guarantees made by suppliers, manufacturers and contractors to the extent relating to services provided to Seller after the Closing in connection with the Business or to the extent affecting any Purchased Assets, other than any warranties, representations and guarantees pertaining to any Excluded Assets.
