Assets of Health Care Business

Sale of Substantially All Assets of the Pioneer Health Services, Inc., describe as below:

• all of the tangible personal property owned by Seller with respect to the operation of the Business, including all equipment, furniture, fixtures, machinery, vehicles, office furnishings, leasehold improvements and inventories of supplies, drugs and other disposables and consumables related to the operation of the Business, including the tangible personal property
• all Contracts of the Seller for assets used in the Business, to the extent assignable or transferable
• to the extent transferable, all books, records, files and papers, whether in hard copy or in electronic format relating primarily to the Purchased Assets, including but not limited to computer software, sales and promotional literature, manuals and data, sales and purchase correspondence, list of present and former suppliers, list of present and former patients, personnel and employment records;
• all advance payments, prepayments, prepaid expenses and deposits related to the operation of the Business;
• to the extent transferable or assignable, all of Seller's right to the telephone and facsimile numbers used for the Business and to the telephone listings in the local telephone directories for the Business;
• (i) any and all provider agreements of Seller for the Business with thirdparty payors, including Government Programs or Private Programs, and (ii) all provider numbers, CMS Certification Numbers, NPIs or any other numbers of Seller used to bill Seller's services for the Business and collect from a third-party payor, including a Government Program or Private Program;
• to the extent assignable or transferable, all Governmental Authorizations issued to Seller with respect to the operation of the Business; and
• all goodwill with respect to the operation of the Business and the Purchased Assets.
