Assets of Georgia Medical Store

Sale of assets of Concord, Inc. which includes:

1. all of the non-leased computers, equipment, furniture, fixtures, cash registers, pointof sale system, postage machines, security cameras, copiers, office equipment, and other tangible personal property of Seller used in the operation of the Store from the Premises, a list of which is attached hereto as Schedule 1;
2. all prescription files, prescription lists, patient profiles, customer lists, records anddata used, maintained and/or generated by Seller in the course of operating its pharmacy at the Store, including such information maintained in computer memory, on disks or by other electronic means (“Prescription Files”);
3. Seller’s saleable and in date (as defined below) prescription pharmaceuticalinventory and non-prescription inventory (collectively the “Inventory”), at the Store as of the Closing Date (as defined in Section 10). Inventory identified as “will call” inventory will not be included if any of these inventories has previously been sold and recorded in Seller’s accounts receivables or paid for by the Store’s customers. Purchaser is not purchasing: (1) any prescription pharmaceutical inventory that are or were: (i) consignment goods; (ii) determined by Purchaser, in its reasonable discretion, not to be in good, clean and saleable condition; and/or (iii) outdated or will be outdated, based on the manufacturer’s code, within ninety (90) days after the Closing Date; and (2) any non-prescription inventory that are or were: (i) consignment goods; (ii) determined by Purchaser, in its reasonable discretion, not to be in good, clean and saleable condition; and/or (iii) outdated or will be outdated, based on the manufacturer’s code, within one hundred eighty (180) days after the Closing Date;
4. Seller’s supplies inventory including vials, labels and paper supplies on hand as of the Closing Date (“Supplies Inventory”);
5. The Store’s telephone number (770-394-3233) and fax number (770-394-4505); and
6. all goodwill associated with the Store.
