Assets of Georgia Health Clinic

Sale of assets of Marquis Diagnostic Imaging, LLC, includes:

• In exchange for cash payment therefor described above, Seller's non-expired inventory, supplies and prepaid assets (e.g., prepaid insurance, utilities, rents, maintenance);
• All owned equipment, improvements, fixtures, furniture and other tangible personal property used or held for use by Seller, including, but not limited to, all diagnostic imaging equipment (including all Toshiba-related diagnostic equipment);
• Intellectual property and intangible assets of Seller, including, without limitation, names and trademarks, customer, referral and supplier lists and domain names, together with the goodwill associated with such intellectual property and intangible assets; and
• Licenses and permits to the extent assignable under applicable law.
