Assets of Gasoline Engine Manufacturing Business

Sale of all assets of Briggs & Stratton Corporation which includes:

1. certain transferred contracts, leases, intellectual property licenses,
2. certain accounts receivable and negotiable instruments,
3. all inventory;
4. all deposits and prepaid charges related to the Acquired Assets;
5. all owned real property;
6. all personal property interests related to the Acquired Assets;
7. all intellectual property owned by the Sellers,
8. books and records related to the Acquired Assets;
9. all permits;
10. all claims and rights under insurance policies arising prior to the closing;
11. all goodwill and intangibles associated with the Acquired Assets;
12. all rights and receivables under inter company contracts;
13. all causes of action to avoid a transfer of property or obligation incurred by the Sellers under the Bankruptcy Code and certain other laws;
14. all causes of action of the Sellers against its former employees;
15. certain other assets, including the underlying agreements of certain letters of credit to be replaced by the Buyer; and

The equity interests of the Sellers’ subsidiaries and equity interests held in certain joint ventures.
