A) The Real Property:
(i) 150 Executive Way, Ponte Vedra Beach, Florida 32082 (#0615190135) Commercial Vacant Land has a lot size of 0.99 acre.
(ii) 200 Executive Way, Ponte Vedra Beach, Florida 32082 (#0615190136) -  2 Story +/-10,608 SF Office Building. Lot Size of 1.83 Acre and was built in 1988.

B) All of Seller’s right, title and interest in and to all appurtenances, rights,easements, rights-of-way, tenements and hereditaments incident to or benefiting the RealProperty.

C) All of Seller’s “Intangible Rights”, meaning all general intangiblesdirectly relating to the Real Property or Fixtures and Equipment in which Seller has anownership interest or a right to transfer (in each case only to the extent that Seller has a right totransfer same to Buyer), if any, including without limitation all development rights, concurrency,impact fee credits, licenses, permits, and governmental approvals and consents relating thereto,warranties, guarantees and other general intangibles, if any.

D) All of Seller’s right, title and interest in and to all equipment, plumbing,sprinkler, heating, air conditioning systems, fixtures and apparatus presently incorporated in, orlocated on and related to, the Real Property (“Fixtures and Equipment”).

E) All of Seller’s right, title and interest in all books and records exclusivelyrelating to the Real Property or other Property, including, but not limited to, all architectural,mechanical and electrical plans and specifications used in the construction of improvements, tothe extent in the Seller’s possession or control (including plans and specifications in the form ofelectronic data, if any); all surveys, all manuals, all construction records, all keys to all locks onthe Premises and an accounting for keys in the possession of others (collectively, the “Books and Records”).

F) All of Seller’s right, title and interest in and to the leases, tenancy oroccupancy agreements in and for all or any portion of the Real Property (collectively, the“Leases”), including the Leases described in the rent roll (the “Initial Rent Roll”) which is incorporated herein by reference, together with all guaranties thereof(the “Guaranties”) and all letters of credit, unapplied security deposits or like fees (collectively,the “Tenant Deposits”).

G) All of Seller’s right, title and interest in and to all contracts with vendorsproviding services solely relating to the Real Property which Buyer identifies in writing to Sellerthat Buyer elects to have Seller assign to Buyer (the “Contracts”).
