Auction Sale of substantially all of assets of Kidde-Fenwal, Inc. (the “Seller”), including its valuable operating business, including the Kidde Fire Systems business line (the “KFS Business”) and the Fenwal Controls business line (the “Fenwal Business” and, together with the KFS Business, the “Businesses”).

The seller is a Delaware corporation with its headquarters in Ashland, Massachusetts. The Debtor manufactures fire protection and suppression systems, including fire detectors, alarm notification appliances, fire-suppression control units and fire suppression-agent delivery systems. The seller also manufactures electronic gas burner controls, mechanical temperature controls and fire and overheat detectors.
