Assets of Financial Technology Company

Sale of substantially all of assets of Aura Financial Corporation et al., (the “Sellers”), including: (i) the customer list and full loan tapes of Aura Financial, including, for the avoidance of doubt, any customer Personal Information contained therein, provided, however, that Purchaser agrees that it shall continue the privacy policy of Aura Financial, and (ii) the following assets of the Initial Aura Sellers:

• All customer loan metadata, including application, origination, and servicing data, on an anonymized basis (excluding any of customers’ Personal Information), provided, however, that Purchaser agrees that it shall continue the applicable privacy policy of the Initial Aura sellers;
• All codebase and associated rights related to the sellers Business;
• All Intellectual Property used and maintained by the Initial Aura sellers, including the name “Aura Financial”;
• All Intellectual Property rights in and to the Initial Aura sellers risk models, credit policies, and decisioning logic;
• All documentation and access rights of the Initial Aura sellers related to the foregoing;
• All of the Initial Aura sellers’ patents, Trademarks, tradenames, technical processes, knowhow or other Intellectual Property associated with the Initial Aura Debtors’ business including without limitation customer lists, records, goodwill and other intangible assets;
• All causes of action, including, without limitation, bankruptcy causes of action primarily related to the Purchased Assets, against key employees, customers and key vendors;
• Royalties payable under Bankruptcy Code section 365(n) related to the rejection of licenses, if any, of purchased Intellectual Property;
• All employee confidentiality, non-compete or assignment of inventions agreements; and
• All domain names and websites.
