Description

Sale of substantially all of assets of the R&F Group, LLC, et al., (Sellers). The sellers engaged in fast food restaurants under the Checker’s franchise brand at four locations in Alabama and Florida. The sellers have locations and operations in Foley, Alabama and three locations in Pensacola, Florida. The sale assets including all of the seller's assets, real, personal, mixed, tangible and intangible, connected with the going-concern operations of the sellers businesses (“Assets”), and more described as below:

  • All buildings and improvements owned by any of the sellers and any elated leasehold rights of the sellers in such related Unexpired Leases that are assumed and assigned related to the Purchased Locations (the “Purchased Locations” are defined as the locations of the sellers businesses at: 5300 North Davis Highway, Pensacola, Florida; 3200 North Pace Boulevard, Pensacola, Florida; and 2150 S. McKenzie St., Foley, Alabama);
  • any contractual rights of the sellers relating to their operations as are assumed and assigned related to the Purchased Locations;
  • All equipment, fixtures, and other personal property of the sellers at their operations related to the Purchased Locations;
  • All inventories of the sellers relating to such operations related to the Purchased Locations;
  • All other inventories on hand relating to their operations or otherwise owned by the Debtors on the date of Closing related to the Purchased Locations;
  • Copies of property records relating solely to the Purchased Locations, and copies of business records of the sellers and the personnel and payroll records relating to the employees who were employed by the sellers immediately prior to closing;
  • All necessary contracts not described above related to the Purchased Locations;
  • All necessary permits to the extent transferable related to the Purchased Locations; and
  • All personal property of the sellers, including but not limited to, those listed in the sellers schedules filed in the Debtors’ Chapter 11 Cases currently pending before the bankruptcy court for the Northern District of Alabama.
  • However, purchased assets shall not include the Franchise Agreement or the lease agreement related to the restaurant location at 4200 Barrancas Avenue, Pensacola, Florida.

Additional Details

In the event multiple bids are received, the seller will hold an auction two (2) business days before the date set for a sale hearing. The auction will be conducted by telephone conference call to be organized and conducted by Harry P. Long, P. O. Box 1468, Anniston, Alabama, beginning at 10:00 a.m. Central Time.

Bid Deadline: 5 days prior to the sale hearing
