The Assets includes: (i) Seller’s name, website, phone number and customer lists; (ii) Seller’s intellectual property; (iii) Cutter ring relating to Sharp equipment, including related customer lists; (iv) Seller’s finished goods inventory, work in process inventory, and parts inventory relating to “Q” line of equipment; (v) Seller’s jigs and tooling used in the manufacture of “Q” line of equipment; (vi) Work benches, tables, handtools, office furniture, office equipment, computers; (vii) Jobboss software and Seller’s license to utilize such software.
