Assets of Duct & Duct Fittings Manufacturer Business

Sale of substantially all of assets of the Duct Shop of NC, Inc., including all of Seller's right, title and interest in and to all of the assets used or usable by Seller in the Business, and more described as below:

• All of the Business's saleable inventory of merchandise on hand on the Closing Date (the "Inventory");
• All supplies, furniture, fixtures, leasehold improvements and other tangible personal property and all fixed assets, including, without limitation, all equipment related to or used in the Business; all other equipment owned and used by the Business including, but not limited to, computers and office equipment used at the Business;
• All business records of Seller relating solely to the operation of the Business that are reasonably necessary for Buyer to continue the Business, including, but not limited to, customer email accounts, supplier records and other records and databases pertaining to the Business; and
• All goodwill and going concern value of Seller related to or connected with the Business.
