Sale of substantially All the Assets of Drug Testing Centers of America Corporate Office LLC, described as below:

(i) The furniture, fixtures, equipment, machinery, inventory, supplies, and miscellaneous items;
(ii) All contracts and agreements for utilities and deposits in connection therewith;
(iii) All of Seller's leases for equipment and related parts, services, and supplies;
(iv) All books and records, operating systems, computer software, and stored data relating to Seller's Business;
(v) All of Seller's rights to Seller's bank accounts and accounts receivable, subject to the minimum bank account balance requirements;
(vi) All customer and supplier lists; and
(vii) All of Seller's intellectual property, including trademarks, trade names, telephone numbers and websites.
