• All tangible assets of the Debtor, other than Excluded Assets;
• All personnel files for Professionals except as prohibited by law;
• All Permits or pending applications therefore;
• All guaranties, warranties, representations, covenants, indemnities, rights or claims related to the Purchased Assets;
• The Intellectual Property;
• The financial accounting and other books and records of the seller;
• The financial accounting and other books and records of the seller;
• The fixed assets and other personal property and interests related to the Business or the Purchased Assets;
• Telephone, fax numbers and e-mail addresses of the seller;
• All patient relationships and patient records and medical charts, whether maintained in electronic or paper copies.
