Assets of Delaware Computer Services Company

Sale of all Assets of Hipcricket, Inc. located in Delaware which includes:

1. all accounts receivable, notes receivable, negotiable instruments, chattel paper and other receivables,
2. all Intellectual Property related to the Business,
3. all scheduled PP&E,
4. all Cash,
5. all deposits, prepayments, vendor rebates and other refunds, rights under warranties and guaranties, rights of set off and recoupment, and similar assets relating to the Business or Acquired Assets,
6. all Transferred Leased Keal Property,
7. all Assumed Contracts,
8. all Documents related to the Business or Acquired Assets, to the extent permitted by applicable law,
9. all Permits to the extent transferable,
10. except to the extent that it is an Excluded Asset, all rights under all insurance policies relating to the Acquired Assets,
11. any claim an interest in and to all tax refunds, credits and similar items relating to any period beginning on or after the Closing Date, to the extent relating to the Business or Acquired Assets post-Closing,
12. all rights and claims of Seller for any action under the F3ankruptcy Code including avoidance actions against non-insiders of the Seller,
13. all rights and claims to the corporate name "Hipericket" and certain other corporate names in connection with the Business, and
14. certain other specified and scheduled assets.
