Assets of Dance & Night Club Business

Sale of assets of Nightgallerie, LLC, including its liquor license, certain personal property on site at its former music venue premises at 444 Jessie Street, San Francisco, CA 94103 (“Premises”), and certain of its intellectual property, and more described as below:

• All of the equipment, furniture, fixtures, furnishings, point of sale system and other personal property;
• All of seller's intellectual property assets in connection with the Premises including but not limited to seller's database of all customer lists, email lists, consumer information,3 social media, software or otherwise, copyrights, and trademarks. Notwithstanding the foregoing, seller agrees to assign the trademark “Mezzanine SF” back to seller on February 1, 2022. Seller shall maintain its current website, www.mezzaninesf.com;
• All tenant improvements to the Premises owned by seller in connection with seller's leasing of the Premises, subject to Landlord’s rights therein;
• Seller's possessory and occupancy rights in and to the Premises, if any; and
• The Type 48, on-sale general liquor license number 396909 issued by the California Department of Alcoholic Beverage Control for the Premises; together with associated Type-58, 68 and 77 ABC licenses (collectively, the “Liquor License”) .
