Assets of Cyber Security Solution Company

Sale of assets of BLACKRIDGE TECHNOLOGY INTERNATIONAL, INC. which includes:

1.  All of Seller's executory contracts and unexpired leases identified on Exhibit A hereto (the "Assumed Contracts"). Buyer shall provide Seller the schedule of executory contracts or unexpired leases to be used as Exhibit A to this Agreement not later than the deadline for submitting bids for the Assets (the "Bid Deadline") established by the Court's order (the "Bid Procedures Order") [Dkt. No. pending and lodged] granting the Seller's Motion for Order Approving Bidding Procedures (the "Bid Procedures Motion") [Dkt. No. 175] or such subsequent order that the Bankruptcy Court may enter.
2. All tangible personal property, including any tangible personal property located within any real property which Seller owns or is leasing as part of an Assumed Contract (the "Tangible Personal Property");
3. All (a) intellectual property of Seller including, but not limited to, trademarks and trade names, copyrights, patents, web sites and domain names; (b) phone and facsimile numbers; (c) software; (d) customer lists; (e) accounts receivable; (f) cash and cash equivalents; (g) tax returns; (h) utility deposits; (i) subject to Section 16, any and all right, title and interest in any current or prior insurance policy(ies) in connection with the ownership or operation of real property leases and personal property by the Seller and any and all amounts claimed and/or collected pursuant to such insurance policy(ies); (j) and all transferable development rights, consents, authorizations, variances or waivers, licenses, permits and approvals from any governmental or quasi-governmental agency, department, board, commission, bureau or other entity or instrumentality; (k) all transferable warranties and guaranties held by Seller in connection with the Assets.
