Assets of Construction Company

Sale of assets of The Lauren Corporation (“TLC”) and Lauren Engineers & Constructors, Inc. (“LEC”) (collectively, the “Sellers”), which includes:

• All of LEC’s right, title and interest in and to: (i.) The corporate name, “Lauren Engineers & Constructors, Inc.;” (ii.) All of LEC’s trademarks, tradenames, logos, service marks, domain names, websites, all applications therefor, and the right to recover for infringement thereon and all goodwill associated with the marks; (iii.) Its list of customers (collectively referred to hereinafter as the “Lauren Name”);
• All of LEC’s right, title and interest in and to Lauren E&C, Inc., a New York corporation (“LE&C”);
• 100% interest of Lauren Engineers & Constructors Mauritius Ltd., a Mauritius corporation (“Mauritius”), agrees to transfer to Purchaser all of the right, title and interest of Mauritius in and to Lauren Constructors Private Limited, an Indian corporation (“LECPL”); and
• All of the TLC and LEC books, records, papers, and instruments of whatever nature and wherever located that relate to the Residual Assets or which are required or necessary for the use and enjoyment of the Assets (the “Records”).
