Assets of Computer Peripheral Equipment Distributor

Sale of assets of WYNIT Distribution LLC which includes:

1. all of the Sellers’ inventory of the Encore Software business including finished goods, work in process, raw materials, operating supplies, packaging and shipping materials, and replacement, spare and component parts;
2. all of the Sellers’ executory contracts and unexpired leases relating to the Encore Software business assumed and assigned to the Buyer;
3. all of the Sellers’ intellectual property used by the Sellers in connection with the Encore Software business, including all documentation relating to,constituting or describing the intellectual property and all rights thereunder;
4. all of the Sellers’ customer data used or intended to be used in connection with the Encore Software business;
5. all of the Sellers’ personal property used or intended to be used in connection with the Encore Software business, including, personal computers, servers, hardware and other tangible property;
6. all of the Sellers’ deposits and prepaid charges and expenses related to the Encore Assets and any executory contracts assumed by the Buyer;
7. to the extent assignable, all of the Sellers’ governmental authorizations and all pending applications therefor or renewals thereof with respect to the Encore Software business; and
8. all other rights, privileges and interests of the Sellers associated with the Encore Assets used or intended for use in connection with, or necessary to the continued operation of, the Encore Software business.
