Assets of Cloud Infrastructure Services Business

Sale of substantially all of the assets of Ajubeo LLC, include and are expressly limited to, the following:

• The executory contracts identified on Schedule 1.2(a) (collectively, the “Assumed Contracts”) and all contractual rights thereto to the extent assumed by Debtor and assigned to Buyer in accordance with Section 1.4 below.
• All Equipment specifically identified on Schedule 1.2(a), together with any express or implied warranties from manufacturers or suppliers thereof (or any components thereof) pertaining thereto.
• All rights or title to any data or other electronic media residing on any Equipment being utilized by the Debtor related to any of the Assumed Contracts.
• All goodwill and other intangible assets, including customer lists and contact information, mailing lists and email lists related to the Assumed Contracts.
• All accounts receivable of Debtor for any of the Assumed Contracts as of the Closing Date which are less than 90 days old.
• All files, documents, instruments, papers, computer files and records and all other books and records of the Debtor in any media relating to the Assumed Contracts, including, but not limited to, all records relating to studies, reports, budgets, forecasts, projections, warranties, and all other records and information relating to the Purchased Assets (collectively the “Files and Records”).
• All Company IP and any other right, title or interest in or to all other forms of Intellectual Property, including but not limited all interest in and right to use any trademarks, URLs, phone numbers, websites, the name “Ajubeo” and the domain name “ajubeo.com”
