Assets of Chem Station Business

Sale of assets of Di-Chem and Quality Technology, LLC (the “Seller”), which includes:

• All rights to the Chem Station franchise, to the extent assignable;
• Customer lists and mailing lists;
• The telephone and facsimile numbers used in the Business;
• All furniture, fixtures, and equipment used in the Business;
• All inventory, paper goods, raw materials and packaging supplies for use in the Business (including inventory in transit to the Business (the “Inventory”);
• Subject to any required consents, all of the Seller’s right in and under all contracts and agreements relating primarily to the Business (the “Contracts”);
• Seller’s records and files relating primarily to the Purchased Assets and the Business;
• To the extent transferable, all licenses, permits or other rights granted by government authorities used in or required or necessary for the lawful ownership or operation of the Business (the “Permits”);
• All computer and computer software including, without limitation, the Point of Sale software used in the Business;
• The goodwill of the Business together with all intangible assets, including, without limitation, all promotional materials, yellow page ads, webpage and telephone listings and advertisements, to the extent owned by Seller (“Intellectual Property”); and
• Without limitation of the foregoing, all assets described in Schedule 1.1.(k) from Page No. 5 on the attached PDF.
