Sale of Assets of Bayer Protective Services, Inc. (a California corporation), are as follows:

• (i) Executory security guard and patrol contracts;
• (ii) Assignable purchase orders and/or service orders for security services, except that the sale and/or retention of the Seller's New Receivables, Older Receivables, and Retained Receivables;
• (iii) Wholly owned vehicles;
• (iv) Authorization for use of incidental equipment and intangibles, including uniforms during pre and post closing transition periods; and
• (v) Use of Security Company brand, Bayer Protective Services.

Bayer Protective Services, Inc. operates a mobile private security service, employing approximately 100 people as security guards and administrative staff, providing private patrol and/or onsite security personnel to approximately 110 customers at approximately 204 locations.
