Sale of assets of Elliott Manufacturing Company, Inc. which includes:
Computer hardware, data in print and digital form, database information, bills of materials, prints, designs, drawings, engineering data, specifications, calculations, technical details, and formulas in both print and digital form, goodwill, trade secrets, know-how, business name “Elliott Packaging Machinery”, contract rights related to unfinished packaging machines, intellectual property, general intangibles, supplier lists and addresses, customer lists and addresses, vendor lists and addresses, sales and marketing materials, sales and demonstration videos, sales and business records, books and records relating to the Packaging Machinery Business, seller’s right to design, improve, manufacture, fabricate, assemble, market, distribute, maintain, sell and/or service seller’s Packaging Machinery Business products and parts, and all right, title and interest of seller to market, distribute and/or sell seller’s Packaging Machinery Business products including but not limited to replacement Packaging Machinery Business parts to seller’s customers as named in its customer lists.
