Sale of all assets of Auto Strap Transport, LLC which consists of:

  1. all inventories relating to the Business and maintained, held or stored by or for Seller in connection with the Business (the "Inventory");
  2. all Equipment owned by Seller;
  3. the vehicles and rolling stock listed on Schedule 2.1(c) (collectively, the "Vehicles"):
  4. the Contracts listed on Schedule 2.1(d) (the "Assumed Contracts"):
  5. each of Seller's Permits that are assignable pursuant to applicable law and pending applications therefor;
  6. all Business Intellectual Property (including all goodwill associated therewith or symbolized thereby);
  7. all Documents;
  8. all Intellectual Property related to the Business, including the name "Auto Strap Transport," telephone, telex and telephone facsimile numbers, remote access portals and other directory listings used in connection with the Business;
  9. all Purchased Deposits;
  10. any deposits or prepaid charges and expenses paid prior to the Closing Date that are not Purchased Deposits;
  11. all cash and cash equivalents, including checks, commercial paper, treasury bills, certificates of deposit and other bank deposits;
  12. all insurance policies, and rights to proceeds thereof (including, but not limited to, any refunds due to Seller upon termination of any insurance policy and any refunds for unearned premiums);
  13. any and all rights, claims or causes of action of Seller against third parties arising out of or related to the Business;
  14. the Premises Lease;
  15. all "Purchased Receivables," which means all revenues, monies, payments, notes, accounts receivable, rents, occupancy fees, fees, proceeds, and other rights to receive payment for goods and services provided by Seller; in each case in connection with the Business prior to the Closing, including any such accounts receivable that have been charged off as bad debt;
  16. all Avoidance Actions (including the proceeds thereof);
  17. all other or additional privileges, rights and interests associated with the Purchased Assets of every kind and description and wherever located that are used or intended for use in connection with, or that are necessary to the continued operation of, the Business; and
  18. all goodwill associated with the Business or the Purchased Assets; and
  19. the hard assets, other than Equipment, listed on Schedule 2.1(s).
