Assets of California Architectural Firm

Sale of substantially all assets of NTD ARCHITECTS, INC described as below:

•  All goodwill associated with the foregoing Purchased Assets.
• The names "NTD Architects" and "NTD Architecture".
• Seller's portfolio of work and all rights to drawings, plans, specifications and related documents that are part of the Purchased Assets. In addition, Buyer shall have a non-exclusive right to use Seller's higher education portfolio of past projects in Arizona.
• All websites, telephone numbers and email addresses.
• All accounts receivable, including but not limited to all rights to collect from customers (and to retain) all fees or other amounts payable, or that may become payable, existing on the Closing Date.
• All work in process as of the Closing Date, relating to Assigned Contracts.
• All of the Assigned Contracts.
• All office equipment, supplies and other assets.
