Assets of Business Consulting Services Company

Sale of all assets of 3S International, LLC which includes:

1. the machinery and assorted equipment known as BLUBOX 1 currently located at the Facility in Taylor, Michigan;
2. the MSS sorting system and assorted equipment and tooling currently located at the Facility in Tinley Park. Illinois (the parties' acknowledging that such assets are in the process of being relocated to the Taylor, Michigan Facility);
3. the machinery and assorted equipment known as Greenbox currently located at the Facility in Tinley Park, Illinois (the parties' acknowledging that such assets are in the process of being relocated to the Taylor, Michigan Facility);
4. the fork lift currently located at the Facility in Tin ley Park, Illinois (the parties' acknowledging that such asset is in the process of being relocated to the Taylor, Michigan Facility);
5. two motor vehicles identified as follows: 2012 Lincoln MKT and 2011 Ford Explorer;
6. all rights in and to the name il3S International" and all derivations thereof; provided, however, that Seller will be entitled to continue to use the name 3S International in connection with the sale of any remaining assets, the collection of accounts receivable, the filing of final tax returns and otherwise in the winding up of its Business following the Closing;
7. to the extent owned by Seller at the Closing, all furniture, office equipment, miscellaneous equipment, inventory and other tangible personal property, wherever located (for avoidance of doubt, the foregoing does, not include any accounts or notes receivable); and
8. all rights, title and interests of Seller with respect to its sales contract entered into with Buyer dated June 11, 2013, as the same may have been amended,
