Assets of Bicycles Distribution Business

Sale of assets of Salvador LombrosoSalvador Lombroso and Leader Bike, LLC which includes:

• Any and all "dbas" used by the Sellers on or before the Tiling of the bankruptcy petitions by the Sellers (the "Petition Date" and hereinafter on or before the Petition Date referred to as "Pre-Petition") or the Estates, if any, including but not limited to the dbas "Leader Bike USA," "Leader Bike," "Leader" and any other derivatives thereof.
• All of the Sellers' and the Estates' right, title and/or Interest in Leader Bike LLC, Leader Bike International, Inc., Coghouso, Inc., Leader Bike USA LLC, Leader Bike International LLC, and any and all derivatives thereof, and any other person, regardless of the name(s) as to which the Sellers held any interest (as members, partners, shareholders or otherwise) as of the Petition Date, whether scheduled or not, whether such businesses are corporate entities, sole proprietorships, or otherwise.All of the Sellers' and the Estates' Pre-Petition right, title and/or any interest in internet domain names, including v/ithout limitation, leaderbikes.com, leaderbicycle.com, and coghouse.com, and any other derivative internet domain names used, owned or controlled by the Sellers or the Estates prior to the Closing Date.
• All of the Sellers' and the Estates' Pre-Petition right, title and/or interest in trademarks and claims thereto, including without limitation, "Leader," "L," "Leader Bike" and any and all derivative forms thereof, including but not limited to US Trademark Registration No. 4,319,523, and any other issued or applied for trademarks in any jurisdiction (including but not limited to foreign jurisdictions) as may be now known or hereafter discovered.
• All of the Sellers' and the Estates' Pre-Petitlon right, title and/or interest in websites, including without limitation, leaderbikes.com, and any other derivative internet domain names used, owned or controlled by the Sellers or the Estates prior to the Closing Dale.
• All of the Sellers' and the Estates' Pre-Petition right, title and/or interest in goods, including all equipment, inventory, work in process, raw materials, spare parts and rolling stock related to the business of the Sellers, wherever located, including without limitation the inventory remaining on location at 2335 C Paseo de las Americas, San Diego, California. It is the Buyer's responsibility to obtain physical possession of such Assets and The Trustee shall have no duty to actually deliver such Assets to the Buyer except those in his actual possession.
• All of the Sellers' and the Estates' Pre-Petition right, title and/or interest, if any, in computers wherever located and office furniture located at 2335 C Paseo de las Americas, San Diego, California. II is the Buyer's responsibility to obtain physical possession of such Assets and Ihe Trustee shall have no duty to actually deliver such Assets to the Buyer unless within the Trustee's actual possession.
• All of the Sellers' and the Estates' right, title and/or interest, if any, in books and records of the Sellers and the Estates as such books and records may relate to the Sellers' Pre-Petition business operations, and all computers and other equipment which have recorded the books and records of the Sellers and/or the Estates as such books and records may relate to the Sellers' Pre-Petition business operations (collectively, the "books and records") (wherever located and regardless of who is in possession), including but not limited to accounting records in the possession or control of the Sellers' accountants and bookkeeper, including without limitation the following locations: 1378 Carneros Valley Street, Chula Vista, CA 91913, 681 Anita Street, Chula Vista, CA 91911, 2335 C Paseo De Las Americas, San Diego, CA 92154, 675 Gateway Center Way, San Diego, CA 92102 and 4625 W. Nevso, Ste. 2, Las Vegas, NV 89103. It is the Buyer's responsibility to obtain physical possession of such books and records and the Trustee shall have no duty to actually deliver books and records to the Buyer except those in the Trustee's actual possession.
• All of the Sellers' and the Estates' right, title and/or interest, if any, in claims against third parties, including any claims or actions stemming from the Trustee's avoidance powers pursuant to 11 U.S.C. Sections 544, 547, 548, 549 and 550 or California Code of Civil Procedure Section 3439 el seq. whether Pre-Petitlon or post-petition claims (the "Avoidance Actions"); it is expressly agreed that the Seller and the Estates shall transfer to Ihe Buyer any and all claims against any alleged distributors (whether listed on the above website or otherwise), ex- employees, Brotures USA Inc., Brotures, Inc., Naoya Imashlro, Yoshiyuki Takl, David Chiang;
