Ambulatory Surgery Center in New Jersey

Sale of substantially all the assets of NJSR Surgical Center, LLC and NJSR Holdings, LLC, described as below:

• Fixtures: All of the fixtures, leasehold improvements, furniture and other tangible property located at the Practice (the "Fixtures");
• Equipment: All of the medical, office and other equipment loeatcd at the Practice (the "Equipment," and together with the Fixtures, the "Assets");
• Architectural Plans: Any and all architectural, construction, and similar plans, designs or blueprints with respect to the Practice and the Property;
• Warranties: Any assignable manufacturer or other warranties or guarantees covering any of the Assets;
• Registration: All of Seller's right, title and interest in the Registration;
• Property: All of Seller's right title and interest in the Property and any and all rights and benefits thereto, which Seller owns in fee simple.
