All Assets of Michigan Cabinet Makers

Sale of substantially all the Eyewood Design Inc.'s assets, The assets are describe as below:

1. Equipment, Furniture and Fixtures: All tangible personal property owned by Seller located in or used in connection with the Business, including without limitation, furniture, trade fixtures, racking, equipment, fork lifts, office equipment, computer equipment, computer systems, inventory systems, furnishings, machinery, tenant improvements, security equipment, communications equipment, equipment operation manuals
2. Personal Property Leases: To the extent the same are assignable, all equipment and other personal property leases for tangible personal property located at the Michigan Real Property
3. Intellectual Property: All trademarks, service marks, copyrights, trade secrets, patents, any applications therefor, all rights held by Seller to the name "Eyewood Design, LLC," logos, symbols, business manuals or policies created by Seller, and tangible or intangible material created by Seller which are or have been used by Seller
4. inventory: All items of inventory, including work in process held in the ordinary course of the Business
5. Computer Software and Databases: Alt computer software, applications, and databases owned, licensed, leased, internally developed or otherwise used bySeller in connection with the Business

The assets also includes Accounts Receivables, Business Records, Contracts.

The Seller is a custom designer, manufacturer and installer of cabinetry and casework for commercial and residential clients. The Seller has 28 employees and is located in Interlochen, Michigan.
