All Assets of Delaware Restaurants

Sale of All assets of Hamlet Group, Inc. which includes:

1. “Business Property” -- a real property lease for the last remaining restaurant of the Hamburger Hamlet chain (the “Store”), machinery, equipment, fixtures, furniture, POS software, signs, smallwares, and cooking utensils, and all other personal property (exclusive of cash (other than Petty Cash, as defined below), checks, deposits, receivables, funds payable to Seller under pending credit and debit card transactions, and other cash equivalents), located at or used solely by the Store.

2. “Intellectual Property” – All of Seller’s right, title and interest in and to any intellectual property owned or licensed (as licensor or licensee) by Seller or in which Seller has a proprietary interest, including Seller’s name, all assumed fictional business names, trade names, registered and unregistered trademarks, service marks, logos, slogans, trade dress and the like, goodwill associated therewith, and registrations or applications therefore, as set forth in Schedule B of Seller’s Bankruptcy Schedules.
