All Assets of Arizona Insurance Agency

Sale of substantially all the assets of the Insurance Agency. The Seller's are the sole beneficiaries of a revocable trust that is the sole member of an Arizona limited liability company named Chandler & Associates, LLC (the “Insurance Agency”). The Sellers, through the Insurance Agency, own and operate an Allstate Insurance Agency in Prescott, Arizona. The Sale Assets described as:

1. Any and all Customer Information;
2. Any and all machinery, equipment, tools, furniture, fixtures, office equipment, computer hardware, computer software, supplies, materials, vehicles, rolling stock, and other items of tangible personal property (other than inventories and supplies) of every kind owned or leased by Chandler & Associates, LLC, (wherever located, including, without limitation, customer locations), and all maintenance records and other documents relating thereto;
3. Any and all rights of Chandler & Associates, LLC, under any agreements, leases, contracts (including software licensing agreements, federal government contracts and general service administration contracts), purchase and sale orders, advertisements, arrangements, commitments and licenses, whether written or oral, relating to Seller’s Business;
4. Any and all rights held by Chandler & Associates, LLC, in the business name “The Chandler Allstate Insurance Agency” and any telephone numbers, e-mail addresses, and or domain names currently used in the operation of the Business; and
5. All goodwill associated with Chandler & Associates, LLC.
