Sale of Real and Personal Property of Clanton Farms, LLC.

Clanton Farms is the owner of a produce shed and packing/storage facility located at 520 East Fourth Street, Hermitage, Arkansas situated on approximately ten (10) acres of real property and all buildings and improvements thereon erected (collectively, the "Produce Facility Improvements") (the Produce Facility Land and the Produce Facility Improvements are hereinafter collectively called the "Produce Facility Premises"), together with all furniture, fixtures, equipment, machinery, supplies and other apparatus located upon the Produce Facility Premises, or used in the operation, repair and maintenance of the Produce Facility Premises; provided, however, that to the extent any of the foregoing assets are leased assets, or vendor owned assets.

The sale includes (i) any strips and gores of land adjoining the Premises and any land lying in the bed of any street, road or avenue opened or proposed, in from of or adjoining the Premises, to the center line thereof, and all right, title and interest of Sellers in and to any award made or to be made in lieu thereof, and all right, title and interest of Sellers in and to any unpaid award for damage to the Premises by reason of change of grade of any street; and Sellers will execute and deliver to Purchaser, on closing of title, or thereafter, on demand, all proper instruments for the conveyance of such title and the assignment and collection of any such award; and (ii) all easements, rights of way, privileges, licenses, appurtenances and other rights and benefits running with the Premises.
