Assets of Aerospace Product and Parts Manufacturing Business

Sale of substantially all of assets of Seawind Development Corp. (“SDC”), Seawind Inc., (“SWI”) and Seawind LLC (“SWLLC and collectively, the “Sellers”). The seller acquired assets include a (i) the Seawind 300 Test Aircraft, assemblies, sub-assemblies and detail parts, (ii) inventory, (iii) SDC’s interest in ADC, (iv) the Seawind Trademark, and (iv) customer lists, files and other confidential information regarding potential clients for the Seawind Project. The Seawind Project assets owned by the non-sellers include (i) intellectual property, proprietary information, research and development, drawings, specifications, designs, copyright and trade secrets, and (ii) plugs, molds, jigs, tools, equipment, machinery and files and (iii) the entirety of the kitplane company assets (the “Non-Seller Acquired Assets”).
