Order of the Court

The Court entered an Order to Show Cause as to why the case should not be converted or dismissed as a result of the entry of an Order Granting Relief from Stay to the debtor's principal secured creditor and its inability to confirm the proposed plan. The debtor has responded by saying that it and the secured creditor are discussing an arrangement to give the debtor 30 days to refinance. Why this has to be done in the context of a Chapter 11 case is unclear. The United States Trustee filed a response indicating that the debtor has failed to comply with its obligations to file reports and pay fees which are independent grounds for dismissal. Given these things and considering there appear to be no assets from which a dividend could be paid to unsecured creditors, the case is hereby dismissed. It is so ORDERED by /s/Dennis R. Dow
